Charlton Aria Acquisition (CHAR) has entered into a definitive business combination agreement with Korea Quantum Computing parent KQC Quantum, the companies said Wednesday.
The combination is aimed at giving Korea Quantum Computing access to the US public capital markets to fund its next stage of commercialization, according to a statement.
The transaction, which is expected to close in H1 of 2027, values Korea Quantum Computing at a pre-money equity value of $80 million, with its shareholders receiving shares of the combined company at $11 per share.
Upon completion of the transaction, Charlton Aria will become a subsidiary of KQC Quantum, and shares of the combined company are expected to trade on the Nasdaq under the ticker symbol "KQC," the companies said.
