Distribution Solutions Group has agreed to be taken private by its majority shareholder in a deal that values the distributor of maintenance and repair products at about $1.6 billion.
Distribution Solutions Group on Thursday said LKCM Headwater Investments, which already owns about 79% of the Fort Worth, Texas, company, will pay $35 a share for the rest of the company.
The deal represents a 27% premium to Distribution Solutions Group's Wednesday closing price of $27.48 and is 81% above the March 13 closing price of $19.31, before the public disclosure of LKCM's initial buyout proposal of $29.50 a share.
Trading in shares of Distribution Solutions Group was halted premarket on Thursday.
J. Bryan King, Distribution Solutions Group's chairman and chief executive, is LKCM's managing partner.
