Xwell (XWEL) has entered into a definitive agreement to sell its XpresSpa and XpresTest businesses to Face Haus affiliate Express Wellness Group for $13 million, subject to closing adjustments, the companies said Tuesday.

The sale, expected to close later in 2026, is aimed at supporting Xwell's strategic restructuring as the company targets to switch to the national security sector, according to a statement.

Xwell's health and wellness operations at retail locations outside of airports are not included in the divestiture, the companies said.

Shares of Xwell were down 13.8% in early Tuesday trading.
