ZOZO (TYO:3092) parent company structure centers on LY (TYO:4689), which holds 51.9% voting rights indirectly through Z Intermediate and dispatches two directors to ZOZO's board, granting it significant decision-making influence.

The group maintains commercial ties, including ZOZOTOWN integration with Yahoo! Japan Shopping and payment services via SB Payment Service Corp, according to a Tokyo bourse filing on Tuesday.

To ensure independence, ZOZO has established governance rules allowing autonomous management decisions while restricting parent-company directors from voting on special-interest board resolutions.
