Ingredion shares were falling early Thursday. The premium it is planning to pay for smaller ingredients company Tate & Lyle looks to be leaving a bad taste in investors' mouths.
London-listed Tate & Lyle said it had received a 2.74 billion-pound ($3.71 billion) potential takeover proposal from Ingredion. The proposed offer, almost entirely in cash plus a dividend payment, would represent a 64% premium to Tate & Lyle's closing price on Wednesday.
Ingredion has until June 11 to make a firm offer or walk away under British takeover rules.
Ingredion shares were down 1.7% at $104.15 in early trading, having fallen 24% in the past 12 months. That would value the U.S. company at around $6.39 billion.
