Criteo (CRTO) said Friday that shareholders overwhelmingly approved all proposals at its general meeting, including plans to transfer its legal domicile from France to Luxembourg.
The company said the move, structured as a cross-border conversion, is expected to be completed in Q3.
As part of the transition, Criteo said it will replace its American Depositary Shares structure with ordinary shares that will be directly listed on Nasdaq.
The company said the changes are intended to enhance long-term shareholder value.
Criteo said the shift would provide greater flexibility for capital management, including share repurchases and treasury share holdings, and eliminate fees and complexities associated with the ADS structure, potentially improving stock liquidity.
