MEGAIN to Convene 29 June 2026 AGM; Board Seeks Share Issue and Buy-Back Mandates

MEGAIN Holding (Cayman) Co., Ltd. has issued a proxy form and agenda for its annual general meeting scheduled for 29 June 2026 at 10:30 a.m., to be conducted via the company’s eVoting Portal.

Key resolutions up for shareholder approval include:

1. Financial Statements • Adoption of the audited consolidated results and accompanying directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board Composition • Re-election of Ms. Yu Erhao as a non-executive director. • Re-election of Mr. Li Huaxiong and Mr. Kao Yi-Ping as independent non-executive directors. • Authorisation for the board to determine the remuneration of the above directors.

3. Auditor • Re-appointment of BDO Limited as external auditor until the next AGM, with the board authorised to fix its remuneration.

4. Share Capital Authorities • General mandate permitting the board to allot, issue and deal with additional shares up to 20% of the company’s issued share capital. • Authority for the company to repurchase its own shares up to 10% of issued share capital. • Extension of the share issue mandate by the aggregate number of shares repurchased under the 10% buy-back authority.

Shareholders must submit completed proxy forms to the Hong Kong branch share registrar, Tricor Investor Services Limited, no later than 10:30 a.m. on 27 June 2026 to exercise voting rights electronically at the AGM.
