B&K CORP-B (02396) Seeks Full Circulation of H Shares

B&K CORP-B (02396) announced that, in accordance with the guidelines, the board has reviewed and approved the conversion of domestic shares held by participating shareholders into H shares, as well as the listing and trading of these H shares on the main board of the Stock Exchange, known as H share full circulation.

Following the acquisition of all necessary approvals, including the filing notice from the China Securities Regulatory Commission and the approval from the Stock Exchange, and compliance with all applicable laws, rules, and regulations, 21,681,762 domestic shares will be converted into H shares. The company will then apply to the Stock Exchange for the listing and trading of these H shares on the main board.

The proposed application for full circulation of the company's unlisted shares is subject to review and approval by the company's shareholders at the second extraordinary general meeting scheduled for September 4, 2026. Participating shareholders have agreed to authorize the board and its authorized persons to apply to the China Securities Regulatory Commission, the Stock Exchange, and other relevant regulatory bodies for H share full circulation and to handle related matters.

The proposed authorization for the board and its authorized persons to handle matters related to the application for full circulation of the company's unlisted shares is subject to shareholder approval at the upcoming extraordinary general meeting.
