CBHB schedules 2025 AGM for 17 June 2026; six ordinary resolutions, including 2025 profit distribution, to be decided

China Bohai Bank Co., Ltd. (CBHB) will convene its 2025 Annual General Meeting (AGM) at 2:00 p.m. on Wednesday, 17 June 2026, in Meeting Room 6702 of China Bohai Bank Tower, 218 Haihe East Road, Hedong District, Tianjin, China.

Key matters to be voted on comprise six ordinary resolutions: 1. Report of the Board of Directors for 2025. 2. Profit Distribution Plan for 2025. 3. Financial Budget Report for 2026. 4. Re-appointment of external auditors for 2026. 5. Loan Reduction and Exemption Authorization Plan. 6. Remuneration for the chairman for 2024.

Voting structure: each resolution requires a simple majority of the voting rights held by shareholders (or their proxies) present at the meeting. Shareholders may appoint one or more proxies; completed proxy forms, together with notarised authorisations (if applicable), must be lodged no later than 24 hours before the AGM. H-share holders should submit forms to Computershare Hong Kong Investor Services Limited, while domestic unlisted shareholders should submit forms to the bank’s board office in Tianjin.

Shareholders failing to indicate specific voting instructions on the proxy form will have their proxy exercise discretion. Votes marked “abstain” will be counted toward quorum but recorded as abstentions in the final tally.

CBHB reminds shareholders that in-person attendance remains permissible even after a proxy form is submitted; in such cases the submitted proxy will be automatically revoked.
