WK Group Sets 22 June 2026 AGM; Seeks Fresh 20% Issuance Mandate, 10% Buy-Back, Board Re-elections and M&A Overhaul

WK Group (Holdings) Limited will ask shareholders to approve a slate of corporate resolutions at its annual general meeting scheduled for 22 June 2026 (11:00 a.m., Suites 1903-1906, 19/F, Alexandra House, Central, Hong Kong).

Key proposals:

1. Capital mandates • Issue Mandate – Directors seek authority to allot and issue up to 400.00 million new shares, representing 20% of the 2.00 billion issued shares (no treasury shares outstanding) as at 23 April 2026. • Repurchase Mandate – Approval requested to buy back up to 200.00 million shares, equal to 10% of issued share capital. • Extension Mandate – Issuance limit may be increased by the number of shares actually repurchased under the Repurchase Mandate.

2. Board composition • Re-election of four retiring directors: – Chan Wing Hong (Non-executive, Board Chairman) – Cheung Wang Fai Victor (Executive) – Cha Ho Wa (Independent Non-executive) – Yu Chun Kit (Independent Non-executive)

3. Auditor • Re-appointment of OOP CPA & Co. as external auditor for 2026, with an expected audit fee ranging between HK$0.78 million and HK$0.86 million.

4. Constitutional update • Adoption of a second amended and restated Memorandum and Articles of Association to align with revised Listing Rules and Cayman Islands law. Principal changes include: – Shareholder right to add resolutions to meeting agendas. – Flexibility for electronic, hybrid and physical general meetings; recognition of electronic voting and communications. – Provision for holding repurchased shares as treasury stock. – Updated rules on book-closure periods and electronic dissemination of corporate documents.

Meeting logistics and timetable:

• Shareholders register closure: 16–22 June 2026 (both dates inclusive). • Record date for voting: 22 June 2026. • Proxy forms due: 11:00 a.m., 20 June 2026 (48 hours before the meeting).

Completion and return of a proxy will not preclude shareholders from attending and voting in person.
