China Suntien Green Energy Corporation Limited resolved on 28 April 2026 to repurchase and cancel 12.43 million previously granted but un-unlocked Restricted A Shares, following participant departures and company-level performance shortfalls over 2024–2025.

Key drivers 1. Participant changes: • Job transfers – 360,000 shares. • Resignations – 80,000 shares.

2. Performance appraisal failure: • First Unlocking Period (2024): revenue grew 15.15 % to RMB 21.37 billion and EPS reached RMB 0.40, both below the targets of ≥25.44 % growth and ≥RMB 0.60 EPS. Resulting shares to be cancelled: 5.99 million. • Second Unlocking Period (2025): revenue edged 6.84 % higher to RMB 19.83 billion and EPS was RMB 0.43, missing the ≥41.12 % growth and ≥RMB 0.66 EPS benchmarks. Resulting shares to be cancelled: 5.99 million.

Repurchase terms • Adjusted buyback price: RMB 3.676 per share, reflecting cumulative cash dividends of RMB 0.424 per share distributed in 2023–2024. • Shares linked to job transfers will be repurchased at RMB 3.676 plus accrued interest. • Total cash outlay: approximately RMB 45.71 million, funded entirely from internal resources.

Post-cancellation share structure • Total share count falls from 4.51 billion to 4.50 billion. • A-share float declines by 12.43 million to 2.35 billion, now 52.31 % of total capital. • Locked-up shares shrink to 6.17 million (0.14 % of total). • H-share base remains unchanged at 2.15 billion (47.69 %).

The buyback and cancellation will not alter the company’s controlling shareholder status, and the shareholding distribution continues to satisfy listing requirements. Management states that the transaction complies with China’s share incentive regulations and will not materially impact the firm’s financial position or operating results.
