JST Group to Hold 29 May 2026 AGM; Seeks Board Re-elections, 10% Buyback and 20% Issuance Mandates

Hong Kong-listed SaaS provider JST Group (stock name: JST GROUP) has released its Notice of Annual General Meeting (AGM), detailing key resolutions to be voted on 29 May 2026 at 10:00 a.m. in Shanghai.

Key proposals:

1. FY2025 Results Adoption • Shareholders will consider and adopt the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of executive directors Mr Luo Haidong, Mr He Xingjian and Mr Li Cansheng. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Reappointment • PricewaterhouseCoopers is nominated for re-appointment as external auditor until the next AGM, with the board authorised to set its remuneration.

4. Share Repurchase Mandate • Directors seek a general mandate to repurchase up to 10% of issued share capital (excluding treasury shares) during the mandate period, subject to Hong Kong Listing Rules and applicable laws.

5. Share Issuance Mandate • A separate mandate would allow directors to allot, issue or transfer treasury shares amounting to up to 20% of issued share capital, excluding shares issued via rights issues, share option exercises or scrip dividends. • Conditional on approval of the repurchase mandate, the issuance limit may be extended by the number of shares actually repurchased, capped at an additional 10% of issued share capital.

Administrative details:

• The company’s register of members will be closed from 26 May to 29 May 2026 (both days inclusive). Share transfers must be lodged by 4:30 p.m. on 22 May 2026 to qualify for AGM attendance and voting rights. • Proxy forms and relevant authorisations must reach Computershare Hong Kong Investor Services by 10:00 a.m. on 27 May 2026. • All AGM resolutions will be decided by poll; results will be disclosed on the HKEX and company websites.

Board composition as of 27 April 2026: Executive Directors—Mr Luo Haidong (Chairman & CEO), Mr He Xingjian, Mr Li Cansheng, Mr Wang Yu; Independent Non-executive Directors—Ms Luo Mei, Mr Li Jiajun, Mr Sheng Kaiqiang.
