Vision Synergy Holdings Limited (Vision Synergy) has released an update on steps being taken to address the disclaimer of opinion issued by PKF Hong Kong Limited on the Group’s consolidated financial statements for the year ended 31 December 2024. The Board outlined five workstreams aimed at removing the audit qualification and stabilising the balance sheet.
1. Diversification into PRC Supply-Chain Operations Leveraging its property, warehouse and logistics network, Vision Synergy has entered China’s supply-chain services market. Management expects the new segment to contribute incremental revenue from FY2025, creating a complementary income source alongside the existing property-related portfolio.
2. Financing and Refinancing Initiatives The Group is in discussions with banks, financial institutions and potential investors to secure alternative funding channels. Options under review include bank loans, refinancing of existing debt, private placements and the issuance of corporate bonds to meet upcoming operating and capital expenditure needs.
3. New Investments and Growth Projects • Property and distressed-asset opportunities: Management is evaluating projects in mainland China and Japan, including a potential acquisition—via bankruptcy reorganisation—of a large-scale commercial complex in Hebei Province. • Telecommunications infrastructure: Responding to rising data-transfer demand in the AI economy, the Group plans to develop a subsea cable connecting Asia to Hong Kong, with construction targeted to start in late 2026 or early 2027 and an expected two-year build-out.
4. Cost Management The company has initiated workforce rationalisation and other cost-control measures to contain overheads while maintaining operational efficiency, aiming to reinforce financial stability and support long-term sustainability.
5. Potential Divestment of Loss-Making Subsidiaries Vision Synergy is seeking buyers for subsidiaries burdened by net liabilities. No binding agreements have been signed to date, but the disposal strategy is intended to strengthen the overall financial position.
The Board affirmed its commitment to implementing these measures and will issue further updates as material progress is made. As of 31 March 2026, the Board comprises one executive director (Dr. Hiroshi Kaneko, also CEO), one non-executive director (Mr. Chung Ho Wai Alan) and three independent non-executive directors (Mr. Huang Zhongquan, Ms. Tang Ying Sum and Ms. Ha Sze Wan).
