Citychamp Watch & Jewellery Group Limited (CITYCHAMP) has released supplemental details on its previously announced disposal of 50 % of the shares in Rotary Watch & Jewellery Limited (the “Disposal Company”), a special-purpose vehicle holding the “Rotary” trade marks.
The consideration for the 50 % stake is set at no less than £5.00 million. In assessing the price, the board cited peer price-to-sales ratios, the recent earnings volatility of the “Rotary” trade marks (a £1.60 million net loss in FY 2025 versus a £0.10 million profit in FY 2024), and a current carrying value of nil for the assets being sold. Management believes the partnership will revitalise the brand’s profitability and unlock latent value.
Incorporated on 30 April 2026 in England and Wales, the Disposal Company was created to house the “Rotary” trade marks, which were transferred from Rotary UK and Rotary SA. Post-transaction, CITYCHAMP and the purchaser each hold 50 % of the entity; the trade marks constitute substantially all of its assets aside from minimal working capital.
The broader Dreyfuss Group—previous owner of the trade marks—has recorded cumulative losses of about £0.88 million over the past five years, including a £1.60 million loss in 2025. CITYCHAMP expects the introduction of the new partner, whose vehicle is 68.9 % owned by Mr. John Story, to drive an operational turnaround for the “Rotary” brand.
Financially, the disposal is projected to generate a gain of at least £5.00 million for CITYCHAMP, calculated as the cash consideration less the asset’s zero book value and estimated transaction expenses. The final impact will be confirmed upon completion of the company’s statutory audit.
