DEEWIN Buys Back 7.92 Million H-Shares, Cutting Outstanding Stock by 1.49%

Deewin Tianxia Co., Ltd. (DEEWIN) disclosed on 20 May 2026 that it repurchased 7.92 million H-shares on the Hong Kong Stock Exchange. The on-market buyback was executed at prices between HKD 3.90 and HKD 3.98 per share, with a volume-weighted average of HKD 3.97, for a total consideration of HKD 31.42 million.

Following the transaction, the company’s outstanding share count (excluding treasury shares) fell from 531.31 million to 523.40 million, a reduction of 1.49%. Treasury shares rose to 29.04 million, while the total issued share capital remained unchanged at 552.44 million.

The latest purchase brings cumulative buybacks under the mandate granted on 29 May 2025 to 29.04 million shares—equivalent to 5.26% of the shares outstanding on the mandate date. DEEWIN is still authorised to repurchase up to 55.24 million shares, leaving 26.21 million shares available under the current mandate.

In accordance with Hong Kong listing rules, DEEWIN is subject to a moratorium on issuing new shares or disposing of treasury shares until 19 June 2026. All repurchases were executed via the Exchange and will be held as treasury shares; no cancellations have been announced.
