ISDN Holdings (I07) approves FY2025 results, 0.53-cent final dividend and board changes at Apr, 30 2026 AGM

ISDN Holdings (I07) said shareholders at its Annual General Meeting on Apr, 30 2026 adopted the company’s Directors’ Statement and audited consolidated financial statements for the year ended Dec, 31 2025.

Attending shareholders approved a first and final tax-exempt dividend of 0.53 Singapore cents per share, payable on or about Aug, 25 2026 to members on the register as of Jul, 7 2026. Management said the payout maintains the group’s practice of distributing roughly 25% of profit attributable to equity holders.

Investors also authorised total directors’ fees of about 0.216 million Singapore dollars for FY2026, matching the prior year.

Governance changes were confirmed. Chairman and Independent Non-Executive Director Tan Soon Liang retired after exceeding nine years on the board. Shareholders re-elected Non-Executive Director Toh Hsiang-Wen Keith and elected Lim Teck Chai, Danny as an Independent Non-Executive Director and member of the audit, remuneration and risk committees.

Moore Stephens LLP was re-appointed as external auditor for FY2026.

Two mandates were approved: a general authority for directors to issue new shares of up to 50% of issued capital—of which up to 20% may be issued on a non-pro-rata basis—and a separate mandate to issue shares under the ISDN Performance Share Plan, capped at 3% of issued capital.

Management’s responses to pre-submitted questions noted no material impact from ongoing geopolitical developments, reiterated the group’s decentralised subsidiary model and succession planning, and highlighted growth opportunities in robotics, AI and regional markets such as Malaysia and Vietnam.
