Milan Station Schedules 25 June 2026 AGM, Proposes 20% Issuance Mandate and 10% Buyback Authority

Milan Station Holdings Limited has issued a notice convening its Annual General Meeting (AGM) for 25 June 2026 at 1:00 p.m. at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong.

Key agenda items 1. Financial reports: Shareholders will consider and adopt the audited consolidated financial statements, together with directors’ and auditors’ reports, for the year ended 31 December 2025.

2. Board composition: Independent non-executive directors Mr. Chan Chi Hung and Mr. Choi Kam Yan, Simon are standing for re-election. The Board also seeks authority to set directors’ remuneration.

3. Auditor re-appointment: McMillan Woods (Hong Kong) CPA Limited is nominated to continue as external auditor, with the Board empowered to fix its fees.

4. General share issue mandate: The Board requests authority to allot, issue or deal with additional shares—or resell treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. The mandate would remain effective until the earlier of the next AGM, the statutory time limit for holding the next AGM, or any revocation by shareholders.

5. Share buyback mandate: A separate resolution seeks approval for the company to repurchase up to 10% of its issued shares (excluding treasury shares) on the Stock Exchange during the same mandate period.

6. Mandate extension: Conditional on the above two mandates passing, the share-issue mandate may be extended by the number of shares repurchased, effectively allowing an additional issuance of up to 10% of issued shares, bringing the potential aggregate to 30%.

Administrative details • Shareholders registered by 4:30 p.m. on 18 June 2026 will be eligible to attend and vote. The register of members will be closed from 22 June to 25 June 2026, inclusive. • All resolutions will be decided by poll, with results released on the HKEX and company websites. • Proxy forms must reach Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, at least 48 hours before the meeting. • Contingency arrangements are outlined for severe weather, potentially postponing the AGM if Typhoon Signal No. 8 or Black Rainstorm Warning is in force between 8:00 a.m. and 5:00 p.m. on the meeting day.

As of the notice date, Milan Station’s board comprises two executive directors—Mr. Hu Bo and Ms. Ji Guiping—and three independent non-executive directors—Mr. Chan Chi Hung, Mr. Tou Kin Chuen and Mr. Choi Kam Yan, Simon.
