GF SEC: June 2026 Share Capital Steady; 108.48 Million H-Share Upside from 2027 Convertible Bonds

GF Securities Co., Ltd. (GF SEC) reported no movements in either its authorised or issued share capital for the month ended 30 June 2026, according to its latest Monthly Return filed with Hong Kong Exchanges and Clearing Limited on 2 July 2026.

Total authorised share capital remained at 7.82 billion shares, comprising 1.92 billion H shares and 5.90 billion A shares, each with a par value of RMB 1.00. Issued share capital was unchanged at the same totals, and the company held no treasury shares.

Public-float compliance was confirmed for the H-share tranche, comfortably meeting the 5 % minimum free-float requirement for PRC issuers with dual listings.

GF SEC’s outstanding HK$2.15 billion zero-coupon convertible bonds due 2027 were unchanged during the month. These instruments carry a conversion price of HK$19.82 and could give rise to up to 108.48 million additional H shares, although no conversions occurred in June.

The stability in share capital, combined with the confirmed headroom for new H-share issuance via outstanding convertibles, provides clear visibility on potential equity dilution scenarios while underlining the company’s adherence to listing and regulatory obligations.
