Poly Xverse Intelligent Technology Co. Ltd has confirmed a leadership transition effective 19 August 2026. Independent non-executive director (INED) Guo Jianwei has resigned from the board and from his positions on the Audit, Remuneration and Nomination Committees, citing other business commitments. The company stated that Guo has no disagreements with the board and no matters require shareholder attention.
Concurrently, the board appointed Wu Jiayao, aged 46, as an INED and member of the same three committees. Wu brings over two decades of capital-markets consulting, audit and tax advisory experience, having advised more than 20 PRC and overseas listed companies. Since 2017 he has served as Chairman and General Manager of Hengqin Yi He He Yi Fund Management Ltd. He is also an INED of Zhongmiao Holdings (Qingdao) Co., and previously held a Nasdaq INED role at Zhengye Biotechnology Holding until March 2026.
Wu holds a bachelor’s degree in mathematics from Sun Yat-sen University and an International MBA jointly offered by MIT Sloan School of Management and Lingnan College of Sun Yat-sen University. He is a certified internal auditor and holds the Fund Practitioner Qualification from the Asset Management Association of China.
Wu’s three-year appointment includes a director’s fee of HK$10,000 per month, subject to annual review. He holds no shares in Poly Xverse, has no relationships with substantial or controlling shareholders, and meets the independence criteria under HKEX Listing Rule 3.13.
Following the change, the board comprises Chairman Zhao Kai, CEO An Pingyan, executive director Yiu Chun Kong, and four INEDs: Wu Yan Yee, Wong Tin Ying Jade, Chak Wai Nga and the newly appointed Wu Jiayao.
