Bairong Plans Auditor Transition from KPMG to Deloitte, Proposes RMB3.50-4.00 Million Fee

Bairong Inc. (BAIRONG-W) announced that it will seek shareholder approval at its 2026 annual general meeting (AGM) to appoint Deloitte Touche Tohmatsu (DTT) as its new external auditor, replacing KPMG, which has served since the company’s March 2021 Hong Kong listing.

The Board approved the change on 4 June 2026 after an Audit Committee review that assessed DTT’s audit proposal, fee structure, industry expertise, independence, market reputation, and resource capacity, in line with Hong Kong Accounting and Financial Reporting Council guidelines.

If approved, KPMG will retire at the conclusion of the 2026 AGM. KPMG confirmed that it has no matters requiring shareholder attention and reported no disagreements with the company. The Board also stated that it is unaware of any additional issues related to the retirement.

Management expects DTT’s audit fee to range between RMB3.50 million and RMB4.00 million, determined through arm’s-length negotiations and reflecting the Group’s size, business complexity, and audit scope.

The company views the proposed rotation as a measure to uphold high corporate governance standards and ensure continued auditor independence. A circular detailing the appointment proposal and the 2026 AGM notice will be dispatched to shareholders in due course.
