ELL Environmental Holdings Ltd (ELL ENV) has dispatched its 2026 AGM circular outlining five principal resolutions for shareholder approval at the 18 June 2026 meeting in Hong Kong.\n\nKey mandates and authorisations\n• Issue mandate: Directors seek a fresh general mandate to allot and issue, or sell treasury shares representing up to 20% of the company’s issued share capital as at the AGM date – equivalent to a maximum 221.46 million shares, based on the 1.11 billion shares in issue on 20 April 2026.\n\n• Repurchase mandate: A parallel authority to buy back up to 10% of issued shares (110.73 million shares) is proposed. Shares bought back may be cancelled or held as treasury stock subject to Listing Rule requirements.\n\n• Extension: Subject to the above mandates being passed, the share-issue limit can be increased by the number of shares actually repurchased, effectively adding another 10% headroom.\n\nGovernance items\n• Director re-elections: Executive chairman Chau On Ta Yuen and independent non-executive directors Ng Chung Yan Linda and Ng Man Kung will retire by rotation and stand for re-election.\n\n• Auditor: Baker Tilly Hong Kong Ltd will retire at the AGM and is nominated for re-appointment for another term, with fees to be set by the board.\n\n• Directors’ remuneration for FY 2026 will be determined by the board, subject to shareholder endorsement.\n\nArticles of Association revamp\nShareholders are asked to approve a comprehensive update of the company’s constitutional documents to: 1) align with recent Listing Rule changes on treasury-share and paperless listing regimes; 2) facilitate Hong Kong’s forthcoming uncertificated securities market (USM); and 3) formalise provisions for hybrid/virtual meetings, electronic voting and other modern corporate-governance practices.\n\nAGM details and timetable\nThe AGM will be held on Thursday, 18 June 2026 at 3:00 p.m. at Unit 2304, 23/F, Westlands Centre, 20 Westlands Road, Hong Kong. The share register will be closed from 15 June to 18 June 2026 (both days inclusive); shareholders must be on record by 12 June 2026 to attend and vote. All resolutions will be decided by poll.\n\nProxy forms must be lodged with Boardroom Share Registrars (HK) Ltd no later than 48 hours before the meeting. The company currently holds no treasury shares.
