Truly International accelerates share buybacks; 17.41 million shares pending cancellation

On 13 July 2026, Truly International Holdings Limited filed a Next Day Disclosure Return with the Hong Kong Stock Exchange, detailing continued activity under its share-repurchase programme.

The company’s issued share capital stood unchanged at 2.95 billion ordinary shares (excluding treasury shares) as at both 10 July and 13 July 2026.

Between 1 June and 13 July 2026, Truly International repurchased 17.41 million shares for cancellation that have not yet been removed from the register. The purchases represent approximately 0.56 % of the existing share base and were executed at a volume-weighted average price of HKD 0.94 per share, for a cumulative outlay of about HKD 16.36 million.

The most recent transaction, executed on 13 July 2026, involved 1.00 million shares bought on the Exchange at HKD 0.89 each, costing HKD 0.89 million.

Under the share-repurchase mandate approved on 12 May 2026, the company is authorised to buy back up to 297.13 million shares. To date, 25.42 million shares have been repurchased, equivalent to 0.86 % of the issued share capital on the mandate date. A 30-day moratorium restricts any new share issuance or sale of treasury shares until 12 August 2026.

Following the above activities, total issued shares remain at 2.95 billion, with the repurchased shares awaiting formal cancellation.
