TSE SUI LUEN to Replace Ernst & Young with Deloitte as Statutory Auditor from FY2026/27

Tse Sui Luen Jewellery (International) Limited announced a planned transition of external auditors following the expiry of Ernst & Young’s (EY) current term at the conclusion of the 2026 annual general meeting (AGM) scheduled for 1 September 2026. EY, which has served the Group since 2013, will retire and not seek reappointment.

The Board, upon the Audit Committee’s recommendation, will propose the appointment of Deloitte Touche Tohmatsu at the 2026 AGM. Key considerations behind the proposed change include Deloitte’s industry expertise aligned with the Group’s strategic direction, its independence, resource capacity, market reputation, and a competitive fee structure.

Deloitte’s estimated audit fee for the financial year ending 31 March 2027 (FY2026/27) is HK$2.40 million, established through arm’s-length negotiations and based on the Group’s current operating scale and audit scope. The Board expects no significant impact on the audit process or the release of FY2026/27 results due to the transition.

Both EY and the Group confirmed there are no matters or disagreements that need to be brought to shareholders’ attention. A circular detailing the proposed auditor change and the 2026 AGM notice will be dispatched to shareholders in accordance with Hong Kong Listing Rules.
