Info-Tech Systems clears all motions at first post-IPO AGM; declares 1.95-cent final dividend

Info-Tech Systems Ltd. on Apr, 24 2026 held its first annual general meeting since listing, with Chairman Lee Kim Heng Peter presiding at Singapore Land Tower, Singapore. A quorum was present and all resolutions were decided by electronic poll.

Shareholders adopted the Directors’ Statement and audited financial statements for the year ended Dec, 31 2025, with 211.50 million votes (100.00%) cast in favour.

The meeting approved a final one-tier tax-exempt dividend of 1.95 Singapore cents per ordinary share for FY2025. The payout was supported by 211.44 million votes (99.97%) in favour.

Five directors—Yeoh Sin Yee, Wan Kum Tho, Tong Wei Min Raymond, Lee Ooi Keong and Lek Ken Vin—were re-elected to the board, each securing at least 99.91% shareholder support. Directors’ fees of 0.1185 million Singapore dollars for the period from Jun, 20 2025 to Dec, 31 2025 were also endorsed.

KPMG LLP was re-appointed as auditor until the next AGM, with directors authorised to fix its remuneration. Investors further granted the board a mandate to issue new shares representing up to 50% of the company’s issued capital, with a 20% limit for non-pro-rata issues; the resolution passed with 98.28% approval.

During the meeting, Chief Executive Officer Setin Subramanian Dilip Babu and Chief Financial Officer Juan Chow Yee outlined FY2025 performance and reiterated confidence in subscription revenue growth, ongoing geographic expansion and the company’s AI-driven training academy.
