Prudential plc grants long-term share award to CEO

Prudential plc (PRU) announced on Jun, 5 2026 that it granted an award covering 419,318 new ordinary shares to Chief Executive Officer Anil Wadhwani under the Prudential Long Term Incentive Plan 2023.

The award, made on Jun, 3 2026 at no purchase cost, will vest after three years subject to performance conditions running from Jan, 1 2026 to Dec, 31 2028. Metrics include cumulative new business profit, gross operating free surplus generation, return on embedded value, relative total shareholder return and capital-related measures.

If threshold targets are met, 20% of each element can vest, with total shareholder return carrying the heaviest weighting at 40%. A clawback provision allows the company to reclaim shares for up to five years after grant in cases such as material misstatement, misconduct or regulatory censure.

The grant was approved by Prudential’s independent non-executive directors. As of the announcement date, the maximum number of shares remaining for future grants under the company’s share schemes is 196.25 million.
