XXF Group’s March 2026 Return Shows Stable Share Capital, No New Issuances

XXF Group Holdings Limited (XXF) filed its Monthly Return for the period ended 31 March 2026, confirming a steady share-capital profile with no equity dilution or treasury-share activity.

The authorised share capital remained unchanged at HKD 40.00 million, representing 12.00 billion ordinary shares with a nominal value of HKD 0.003333 each.

Issued share capital was static at 1.55 billion shares, and the company continued to hold zero treasury shares. XXF also reaffirmed compliance with the Main Board’s minimum 25 % public-float requirement.

Option statistics were equally stable. The Pre-IPO Share Option Scheme carried 98.55 million outstanding options, all unexercised during the month. The general Share Option Scheme had no outstanding options, leaving capacity for up to 154.69 million future grants. No warrants, convertibles, or other equity-linked instruments were outstanding or issued.

With no changes recorded across authorised, issued, or treasury shares, the company’s capital structure stayed intact through March 2026, indicating no dilution for existing shareholders during the reporting period.
