MEGAIN Schedules 5 October 2026 Virtual EGM to Approve New Purchase and Supply Framework Agreements

MEGAIN Holding (Cayman) Co., Ltd. has called an extraordinary general meeting (EGM) for 10:00 a.m. on 5 October 2026. The session will be conducted exclusively through the company’s eVoting Portal, allowing shareholders to participate and vote online from any internet-enabled device.

Key Resolutions 1. Purchase Framework Agreement • Shareholders are asked to approve, confirm and ratify the Purchase Framework Agreement and its annual caps. • A single director will be authorised to execute all documents and actions necessary to implement the arrangement.

2. Supply Framework Agreement • Shareholders are also asked to approve, confirm and ratify the Supply Framework Agreement and its annual caps. • Similar authorisation will be granted to one director to complete all related formalities.

Participation and Voting Logistics • Eligibility Cut-off: The register of members closes on 5 October 2026; only shareholders on record that day may vote. • Share Transfers: To be eligible, share transfer documents must reach Tricor Investor Services Limited by 4:30 p.m. on 2 October 2026. • Proxy Submission: Completed proxy forms must be lodged with Tricor Investor Services Limited no later than 10:00 a.m. on 3 October 2026 (48 hours before the meeting). • Voting Method: All resolutions will be decided by poll via the eVoting Portal. • Meeting Language: Proceedings will be conducted in Putonghua.

Corporate Governance The board currently comprises eight directors, including two executive directors, three non-executive directors and three independent non-executive directors. Chairman Mr. Wang Dongjie issued the notice on 17 September 2026.
