Suntec Real Estate Investment Trust held its annual general meeting on Apr, 16 2026 in Singapore, with a quorum of unitholders present.
All four ordinary resolutions were approved by poll:
1. The FY 2025 audited financial statements, together with the Manager’s statement and the Trustee’s report, were adopted with 99.98 % of votes cast in favour.
2. KPMG LLP was appointed external auditor in place of Ernst & Young LLP, with 99.97 % of votes cast in favour, and the Manager was authorised to fix its remuneration.
3. A general mandate authorising the Manager to issue new units and/or convertible securities was approved with 93.43 % of votes cast in favour.
4. A renewal of the mandate allowing unit buy-backs of up to 2.5 % of issued units was approved with 99.93 % of votes cast in favour.
During the meeting, the Manager said about 65 % of Suntec REIT’s borrowings are on fixed rates or hedged, and approximately 80 % are denominated in Singapore dollars. Management also disclosed that one strata office unit at Suntec City was sold in FY 2025 for about 15 million Singapore dollars, roughly 20 % above book value.
Unitholders were told that the Manager had evaluated but declined an opportunity to acquire a one-sixth stake in One Raffles Quay and Marina Bay Financial Centre Towers 1 & 2 and Marina Bay Link Mall, as fully debt-funding such a deal would have raised leverage to about 45 % and any equity fundraising would have been dilutive given the current near-30 % discount of the unit price to net asset value.
The Manager also confirmed that ESR Group Limited has exited its unitholding and that Acrophyte Asset Management Pte. Ltd., a subsidiary of Tang Organization Pte. Ltd., is now the sponsor. A strategic review of the portfolio is planned within the year.
