GOME Retail Shareholders Clear All AGM Resolutions, Green-Light Auditor Change and Share Mandates

GOME Retail Holdings Limited reported that every item on the agenda at the 17 June 2026 annual general meeting (AGM) was approved by poll voting, signalling broad shareholder support for governance changes and capital-management flexibility.

Shareholder turnout and voting results • A total of 4.92 billion votes were cast on the key resolutions, representing up to 99.67 % support on the most favoured items. • The highest opposition recorded on any single resolution was 0.56 %, well below the simple-majority threshold for ordinary resolutions and the 25 % blocking threshold for the special resolution. • GOME Retail has 73.00 billion shares outstanding; no shareholders were required to abstain or had signalled an intention to vote against the proposals.

Board composition and remuneration • Independent non-executive directors Mr Lui Wai Ming and Mr Liu Yin Hong were re-elected, each securing 99.63 % of votes cast. • Directors’ remuneration will continue to be set by the Board after receiving 99.67 % shareholder approval.

Auditor appointment • CCTH CPA Limited was appointed external auditor, also with 99.67 % approval, replacing the previous firm. The Board is authorised to determine the audit fee.

Capital authorities • A general mandate authorising the Board to issue, allot, or sell shares—including treasury shares—garnered 99.63 % support. • A separate mandate to repurchase shares received 99.67 % backing. • Shareholders further endorsed (99.63 % votes in favour) an extension allowing any repurchased shares to be added to the issuance mandate.

Corporate governance update • A special resolution adopting Amended and Restated Bye-Laws passed with 99.60 %, comfortably above the 75 % requirement.

Procedural notes • Tricor Investor Services Limited acted as independent scrutineer for the poll. • All Board members attended the AGM either in person or via teleconference.

The strong voting margins across all nine resolutions provide GOME Retail’s Board with renewed authority over capital actions, governance framework and auditor oversight for the coming year.
