DMALL Approves Up to 10% Share Buy-Back, Backed by RMB860 Million Cash and Solid 2025 Earnings

DMALL Inc. (DMALL) has initiated a voluntary share repurchase program after its board authorised the use of internally generated funds—excluding IPO proceeds—to buy back up to 10% of the company’s issued shares, as permitted under the mandate granted at the 5 June 2026 annual general meeting. The buy-back window extends until the 2027 AGM or earlier if the mandate lapses, with repurchased shares held as treasury stock that may later be cancelled, sold or transferred, including under the firm’s share incentive plan.

Management cited a market valuation judged below intrinsic value and highlighted continued operating strength. As of 31 December 2025, DMALL served 593 domestic and overseas retail customers and recorded a net revenue retention rate of about 108%, underscoring expanding client engagement.

Financially, the company reported 2025 net profit of approximately RMB127.00 million and adjusted net profit from continuing operations of around RMB203.00 million. Cash and cash equivalents stood at roughly RMB860.00 million at year-end, providing ample liquidity to support the repurchase without affecting ongoing operations or strategic initiatives.

The firm reaffirmed its core AI strategy, aiming to evolve from a retail digitalisation solution provider into a retail AI agent provider, while steadily enlarging its international footprint.

The repurchase will adhere to the company’s articles, Hong Kong Listing Rules and all applicable regulations. The board retains full discretion over the timing, scale and pricing of purchases and will ensure public float requirements are maintained. Shareholders and investors are advised that execution remains subject to market conditions.
