JH EDUCATION Maintains 1.60 Billion Issued Shares and Complies with Public-Float Rule in July 2026

JH EDUCATION (JH Educational Technology INC.) has filed its Monthly Return for the period ended 31 July 2026 with Hong Kong Exchanges and Clearing Limited, confirming no changes in share capital structure or treasury-share position during the month.

The company’s authorised share capital stood unchanged at 30.00 billion ordinary shares with a par value of USD 0.01 each, equivalent to USD 300.00 million.

Issued share capital remained steady at 1.60 billion ordinary shares, and the group continued to hold zero treasury shares. No new shares were issued, repurchased, or cancelled in July, leaving total issued shares at 1.60 billion.

JH EDUCATION confirmed compliance with the Main Board’s minimum 25% public-float requirement as at 31 July 2026.

Under the Share Option Scheme adopted on 30 May 2019, there were no outstanding options and no exercises during the month. The scheme still permits the potential issuance of up to 160.00 million shares, but no funds were raised in July.

The filing also shows no outstanding warrants, convertible securities, or other share-issue arrangements, and no Hong Kong Depositary Receipts were involved.

Company Secretary Mak Po Man Cherie submitted the return on 5 August 2026, affirming that all disclosure requirements under the Exchange Listing Rules have been satisfied.
