BetterLife Holding Sets AGM for 29 May 2026; Proposes RMB12.20 Million Final Dividend, Share Issue & Buy-back Mandates

BetterLife Holding Limited has issued a circular convening its annual general meeting (AGM) for 10:00 a.m. on 29 May 2026 at the group’s Beijing headquarters (No. 143, The 4th West Wing North Road, Haidian District).

Key proposals to be voted on:

1. Final dividend • Board recommends a cash dividend of RMB 2.00 cents per share for FY 2025, totalling approximately RMB 12.20 million. • Ex-dividend timetable: – Books closure for dividend entitlement: 5–10 June 2026 (both days inclusive) – Record date: 10 June 2026 – Target payment date: on or before 30 June 2026

2. Board composition • Re-election of Executive Director Ms Sun Jing and Independent Non-executive Director Mr Lou Sai Tong, who retire by rotation and are eligible for re-election.

3. Auditor • Re-appointment of SHINEWING (HK) CPA Limited as external auditor until the conclusion of the next AGM.

4. General mandates • Share issue mandate: authority to allot and issue up to 20% of issued share capital (maximum 124.50 million shares, based on 622.50 million shares in issue at the latest practicable date). • Share repurchase mandate: authority to buy back up to 10% of issued share capital (maximum 62.25 million shares). • Extension mandate: the issue mandate may be increased by the number of shares repurchased.

5. Amendments to Articles of Association • Proposed adoption of a new set of articles to allow physical, hybrid and fully electronic general meetings, accommodate uncertificated shareholding under Hong Kong’s proposed USM regime, and align with updated Cayman Islands law and Listing Rules.

Key administrative dates:

• Register closure for AGM attendance and voting: 26–29 May 2026; share transfers for voting eligibility must be lodged by 4:30 p.m. on 22 May 2026. • Proxy forms must reach Computershare Hong Kong Investor Services by 10:00 a.m. on 27 May 2026.

As at the latest practicable date (16 April 2026) BetterLife had 622.50 million issued shares and no treasury shares on record.
