Parkson Retail Group Secures Unanimous Shareholder Approval on All AGM Resolutions

Parkson Retail Group Limited (Parkson) received unqualified shareholder support at its Annual General Meeting on 18 May 2026, with every resolution passing by a 100% majority.

Key Outcomes

1. Financial Statements Adopted • All 1.45 billion votes cast backed the audited consolidated financial statements and directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Executive Director Juliana Cheng San San and Independent Non-executive Director Dato’ Fu Ah Kiow were both re-elected with full support. • Shareholders also authorised the board to determine directors’ remuneration, again with 1.45 billion votes in favour.

3. Auditor Re-appointment • Messrs. Grant Thornton Hong Kong Limited was re-appointed as auditor, with shareholders granting the board authority to set remuneration (1.45 billion votes for, none against).

4. Capital Management Mandates • Share Repurchase: Directors received a general mandate to repurchase up to 10% of the issued share capital. • Share Issuance: A separate mandate allows directors to issue, allot and deal with shares representing up to 20% of issued capital, with an additional mandate to extend this limit by the aggregate number of shares repurchased. • Each capital-related resolution attracted unanimous approval of 1.45 billion votes.

• Total issued shares on the meeting date: 2.63 billion. • Shares eligible to vote: 2.63 billion. • No shares carried restrictions or were required to abstain from voting, and no shareholder indicated an intention to oppose any resolution.

Governance Notes

• Tricor Investor Services Limited acted as the independent scrutineer for vote-counting. • All board members were present except Independent Non-executive Director Datuk Koong Lin Loong, who was absent due to personal commitments.

The decisive backing across all agenda items provides Parkson’s board with full authority to proceed with day-to-day governance, auditor engagement and capital-management initiatives for the forthcoming year.
