Xinte Energy Announces Leadership Reshuffle: Nan Xinjian Steps Down, Wang Bin Takes Helm as General Manager

Xinte Energy Co., Ltd. (Xinte Energy) disclosed a board-level transition on 21 August 2026. Executive Director and General Manager Nan Xinjian has resigned from all three posts—executive director, general manager and member of the remuneration and assessment committee—effective immediately to devote more time to personal and family matters. Nan will continue to serve the company in other, unspecified capacities. The board confirmed no disagreements with Nan and no matters requiring shareholder or Stock Exchange attention.

Concurrently, the board appointed 38-year-old Wang Bin as the new general manager, effective the same day and lasting through the end of the current (fifth) board session. Wang is also nominated for executive-director status and membership on the remuneration and assessment committee; both appointments are subject to shareholder approval at an upcoming general meeting.

Compensation framework • General manager remuneration will be set according to Xinte Energy’s internal performance appraisal and remuneration policies; amounts will be disclosed in the annual report. • If approved as executive director, Wang will receive an annual director’s fee of RMB160,000 (before tax) under the company’s 2026 allowance plan.

Governance implications The board states that Wang’s appointment aims to strengthen governance and align with its diversity policy. A circular detailing his proposed directorship and the related general-meeting agenda will be sent to shareholders in due course.

Following these changes, the board composition remains at nine members: two executive directors (Huang Hanjie and Huang Fen), three non-executive directors, and four independent non-executive directors.
