Flowing Cloud Announces Further Postponement of Rights Issue Circular and Timetable Adjustment

Flowing Cloud Technology Ltd. has disclosed an additional delay in the despatch of its Rights Issue circular. The document, originally scheduled for distribution by 21 August 2026, is now expected to be released on or before 11 September 2026.

Key details are as follows:

• Transaction structure: the proposed Rights Issue remains at four Rights Shares for every one existing share held on the record date, executed on a non-underwritten basis.

• Documentation: the postponed circular will contain further information on the Rights Issue, the Independent Board Committee’s recommendation, the Independent Financial Adviser’s opinion, and the notice convening the extraordinary general meeting.

• Next steps: a revised timetable for the Rights Issue will be provided once finalised.

The announcement was authorised by Chairman and Executive Director Wang Lei on 21 August 2026. As of that date, the board comprises three executive directors—Wang Lei, Xu Bing and Li Yao—and three independent non-executive directors—Jiang Yi, Li Yue and Li Shaojie.
