Contel Technology (CONTEL-NEW) and Zhuangyan Investment defer composite offer document dispatch to 7 August 2026

Contel Technology Company Limited (CONTEL-NEW) and Offeror Zhuangyan Investment International Limited have jointly announced a postponement in sending out their composite offer document to independent shareholders.

Originally, the Takeovers Code (Rule 8.2) required the document—covering the proposed subscription, specific-mandate placing, planned increase in authorised share capital and a possible mandatory general offer—to be dispatched within 21 days of the 8 June 2026 joint announcement, i.e. by 29 June 2026.

Because completion of both the subscription and inter-conditional placing has not yet occurred, the parties have sought—and the Securities and Futures Commission’s Executive is “minded to grant”—consent to extend the deadline. The new target date will be no later than seven days after the subscription long-stop date, translating to 7 August 2026.

The composite document will include full terms of the potential offer, an Independent Board Committee recommendation to independent shareholders and advice from an Independent Financial Adviser, together with the relevant acceptance and transfer forms.

Boards of both Contel Technology and Zhuangyan Investment affirm responsibility for the accuracy of the information disclosed in the announcement dated 29 June 2026.
