Xiaomi Issues 54.20 Million New Class B Shares for Employee Incentives; 83.63 Million Shares Pending Cancellation After HK$2.05 B Buyback

Xiaomi Corporation (Xiaomi-W) has updated its capital structure following a series of employee-related share issues and an ongoing share-repurchase programme, according to the Next Day Disclosure Return submitted to the Hong Kong Stock Exchange on 20 July 2026.

Key developments

1. Incremental share issuance • On 20 July 2026 the company allotted 54.20 million new Class B weighted-voting-right (WVR) ordinary shares under equity incentive plans, broken down as follows: – 38.70 million shares (0.1501% of Class B share capital) from the 2023 Share Scheme at nil consideration. – 15.46 million shares (0.06%) from a separate share-award scheme at nil consideration. – 35,800 shares (0.0001%) upon option exercises at HK$1.95 each.

Driven by these grants, the Class B share count rose from 21.34 billion to 21.40 billion, a 0.21% increase.

2. Share repurchases awaiting cancellation Between 3 June and 17 July 2026, Xiaomi bought back 83.63 million shares for cancellation across 15 on-market transactions. The repurchased shares equal approximately 0.32% of the company’s total issued share base of 25.79 billion shares as of 17 July 2026.

• Aggregate cost: HK$2.05 billion, implying a volume-weighted average repurchase price of about HK$24.47 per share. • Individual buyback sizes ranged from 3.50 million to 9.47 million shares, with per-share prices spanning HK$21.46 to HK$28.65.

3. Updated capital snapshot • Class B WVR shares in issue (excluding treasury shares) as of 20 July 2026: 21.40 billion. • No treasury shares are currently held; all 83.63 million repurchased shares remain outstanding pending cancellation. • Combined with 4.44 billion Class A ordinary shares, Xiaomi’s total issued share capital stands at approximately 25.84 billion shares, prior to the cancellation of the repurchased stock.
