Envictus subsidiary obtains RM82 million Islamic financing with shareholding covenant

Envictus International Holdings Limited said its wholly-owned unit, Pok Brothers Sdn Bhd, has signed master facility agreements dated Apr, 8 2026 with Public Islamic Bank Berhad for Islamic financing facilities totaling RM82 million.

Under the agreements, Envictus guarantees the borrowings and must ensure that Executive Chairman and Group CEO Dato’ Jaya J B Tan and his immediate family remain the company’s single largest shareholder.

A breach of this condition would trigger an event of default, making all outstanding amounts under the facilities and related security documents immediately due. Envictus noted that RM264 million of group borrowings could be affected by such a default, of which about RM74 million is currently drawn.

The company said there is no breach of the covenant at present; Dato’ Jaya J B Tan holds 28.78 % of Envictus’s shares.
