GigaDevice Semiconductor Inc. disclosed multiple senior administrative changes effective 18 August 2026, alongside a conditional waiver from Hong Kong Exchanges and Clearing Limited (HKEX) on company-secretary qualifications.
Key management changes 1. Secretary to the Board & Joint Company Secretary • Ms. Dong Lingyan resigned for personal career reasons. • Mr. Xie Feiwang, 38, currently Director of Capital Operations (joined August 2025), succeeds Ms. Dong as Secretary to the Board and becomes Joint Company Secretary.
2. Joint Company Secretary, Authorized Representative & Process Agent • Ms. Wong Wai Yee, Ella stepped down from her roles as Joint Company Secretary, Authorized Representative under Listing Rule 3.05, and Hong Kong Process Agent under Rule 19A.13(2), citing work adjustment. • Ms. Lai Janette Tin Yun, a Chartered Secretary with more than 14 years’ corporate governance experience, is appointed to all three positions.
Biographical highlights • Mr. Xie has held roles at PricewaterhouseCoopers (audit, 2011–2012), Hongyuan Securities (investment banking, 2012–2015) and SWSC Innovation Investment (2015–2025). He earned an MBA from Peking University in July 2016 and is a non-practicing member of the Chinese Institute of Certified Public Accountants. • Ms. Lai is a senior manager of company secretarial services at Vistra Group and an Associate of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK).
HKEX waiver Because Mr. Xie does not yet meet the formal qualification requirements under Listing Rules 3.28 and 8.17, the Company secured a three-year waiver from HKEX, subject to: 1. Continuous assistance from Ms. Lai during the waiver period; and 2. Absence of material breaches of the Listing Rules.
By the end of the waiver period, GigaDevice must demonstrate that Mr. Xie has gained sufficient experience to independently fulfil company-secretary duties; otherwise, the waiver may be withdrawn.
Board acknowledgment The Board expressed gratitude to Ms. Dong and Ms. Wong for their contributions and welcomed Mr. Xie and Ms. Lai to their new posts.
