Cosmo Lady (China) Holdings Company Limited filed its monthly return for the period ended 31 March 2026, confirming that the group’s share capital structure remained unchanged throughout the month.

• Authorised capital stood at 5.00 billion ordinary shares with a par value of USD 0.01, equivalent to USD 50.00 million. No increase or decrease was recorded.

• Issued share count was steady at 2.25 billion ordinary shares. The company held no treasury shares, and there were no new issues, cancellations, or repurchases during March.

• Public-float compliance was affirmed, meeting the Main Board’s minimum 25% threshold.

• Under the 2 June 2023 Share Option Scheme, 44.00 million options remained outstanding, unchanged month-on-month. If fully exercised, these options could expand the issued share base by up to 1.96%. The scheme’s overall capacity allows for the future issuance of up to 180.95 million shares.

• No warrants, convertible securities, or other share-issuance arrangements were outstanding, and the company raised no funds from option exercises during the month.

Cosmo Lady’s unchanged capital position and confirmed public-float compliance provide investors with continued transparency on equity dilution risk heading into the next reporting period.
