WECON HOLDINGS (01793) and the offeror, Triple Arch Limited, have jointly announced that on February 26, 2026, the offeror requested the board of directors to propose a scheme to the scheme shareholders for the privatization of the company under Section 86 of the Companies Law via a scheme of arrangement. The scheme will involve the cancellation of the scheme shares, a cash payment to scheme shareholders of HK$0.280 per cancelled scheme share as consideration, and the withdrawal of the listing status of the shares from the Stock Exchange. The cash consideration of HK$0.280 per cancelled share represents a discount of approximately 13.8% compared to the closing price of HK$0.325 per share on the Stock Exchange on the last trading day. The company has applied to the Stock Exchange for the resumption of trading of its shares, which will commence at 9:00 a.m. on March 17, 2026. The offeror is a limited company incorporated in the British Virgin Islands and has been the controlling shareholder of the company since its listing. The entire issued share capital of the offeror is ultimately beneficially owned by Mr. Tsang Ka Yip.
