NUMANS Delays Despatch of Circular for Further Acquisitions; Seeks Waiver from Rule 14.41(a)

Numans Health Food Holdings Company Limited (NUMANS) announced a postponement in sending its shareholder circular related to a series of Further Acquisitions that collectively amount to a major transaction under Chapter 14 of the Hong Kong Listing Rules.

The circular—originally scheduled for delivery on or before 6 July 2026—will be delayed as additional time is required to finalise key financial materials, including the Group’s statement of indebtedness and a working-capital sufficiency letter. In view of the delay, NUMANS has applied to the Stock Exchange for a waiver from strict compliance with Rule 14.41(a), which mandates despatch of such circulars within 15 business days of the initial announcement.

The Further Acquisitions were first disclosed on 11 June 2026, with a supplemental announcement on 16 June 2026, and together with Previous Acquisitions, constitute a major transaction for the Group. NUMANS intends to release an additional update on the waiver application’s status and the revised despatch date once available.

The Board currently comprises Chairman and Executive Director Mr. Wang Ping, Executive Director Ms. Cui Juan, Non-executive Director Mr. Chan Hok Leung, and Independent Non-executive Directors Ms. Yim Wing Yee, Mr. Lau Kwok Fai Patrick, and Mr. Yu Tsz Ngo.
