ZTO Express Buys Back 1.19 Million ADS in Mid-August; Share Count Steady at 557.33 Million

ZTO Express (Cayman) Inc. disclosed that between 12–20 August 2026 it repurchased a total of 1,194,156 American Depositary Shares (ADSs), each representing one Class A ordinary share. The transactions were executed on the New York Stock Exchange under the company’s June 2026 general mandate.

• Transaction breakdown – 12 Aug: 73,128 ADS at USD 22.98 – 13 Aug: 218,268 ADS at USD 22.89 – 14 Aug: 218,091 ADS at USD 22.91 – 17 Aug: 218,381 ADS at USD 22.88 – 18 Aug: 300 ADS at USD 23.00 – 19 Aug: 231,703 ADS at USD 21.56 – 20 Aug: 234,285 ADS at a price range of USD 20.98–21.40 (aggregate cost: USD 4.99 million)

• Financial impact The seven transactions represent an aggregate outlay of roughly USD 26.67 million, implying a volume-weighted average purchase price of about USD 22.33 per ADS.

• Capital structure Despite the buybacks, ZTO’s issued share capital was unchanged at 557.33 million Class A ordinary shares and 206.10 million Class B ordinary shares as of 20 August 2026. The repurchased ADSs remain uncancelled at period-end and account for approximately 0.16 % of the company’s total issued shares.

• Mandate utilisation The June 2026 shareholder mandate authorises the repurchase of up to 76.60 million shares. Including the latest tranche, ZTO has repurchased 3.76 million shares to date, utilising 0.49 % of the authorised limit.

• Regulatory compliance The board confirmed that all repurchases were executed in accordance with Hong Kong Stock Exchange Main Board Rules and relevant U.S. market regulations, with all funds duly settled. A 30-day moratorium on new share issues or treasury share disposals runs until 19 September 2026 following the latest repurchase.
