Shimao Group schedules 25 June 2026 virtual AGM to vote on FY 2025 results, board re-elections and share mandates

Shimao Group Holdings Limited will hold its annual general meeting (AGM) online at 11:00 a.m. on 25 June 2026. Shareholders are being asked to vote on six ordinary resolutions set out in the proxy form distributed by the company.

Key items on the agenda include:

1. Financial statements: Adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board composition and remuneration: • Re-election of executive director Hui Sai Tan, Jason. • Re-election of independent non-executive directors Lyu Hong Bing and Lam Ching Kam. • Authorisation for the board to determine directors’ remuneration.

3. Auditor: Re-appointment of Zhonghui Anda CPA Limited and authorisation for the board to set the auditor’s remuneration.

4. Share authorities: • A general mandate empowering the board to issue new shares. • A general mandate permitting the buy-back of the company’s shares. • An extension of the share-issue mandate equal to the number of shares repurchased under the buy-back mandate.

Shareholders may appoint the AGM chairman or another proxy to vote on their behalf. Proxy instructions, together with any relevant authority documents, must be lodged with Tricor Investor Services Limited or submitted through the designated e-voting portal at least 48 hours before the meeting. Joint shareholders will have voting rights determined by the name that appears first on the register. Attending shareholders retain the right to revoke previously submitted proxies by voting personally through the e-voting portal.
