Sino-Life Group Sets 29 May 2026 AGM; Proposes Director Re-elections, 20% Issue Mandate and 10% Buy-back Limit

Sino-Life Group Limited will convene its annual general meeting on 29 May 2026 at 2:00 p.m. on Level 6, Infinitus Plaza, 199 Des Voeux Road Central, Sheung Wan, Hong Kong.

Key ordinary business to be tabled:

• Adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports.

• Re-election of Mr. Xu Jianchun (executive), Mr. Zhu Bing (non-executive) and Ms. Hu Zhaohui (independent non-executive) as directors, with the board authorised to fix directors’ remuneration.

• Re-appointment of Crowe (HK) CPA Limited as independent auditor, with remuneration to be set by the board.

Special business resolutions seek shareholder approval for:

1. A general mandate authorising the board to allot and issue new shares up to 20% of the company’s issued share capital (excluding any treasury shares) as at the date of the AGM, inclusive of any offer, agreement or option that may require exercise after the mandate period.

2. A share repurchase mandate permitting on-market buy-backs of up to 10% of issued shares (excluding treasury shares) during the mandate period.

3. An extension that would add the number of shares repurchased under the above buy-back mandate to the aggregate shares available for issue under the 20% allotment mandate.

Mandate validity—defined as the “Relevant Period”—runs until the earlier of: a) the conclusion of the next AGM, b) the statutory deadline for holding the next AGM, or c) shareholder revocation in general meeting.

Register of members will be closed from 26 May 2026 to 29 May 2026, inclusive. Share transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 22 May 2026 to qualify for AGM attendance and voting.

The circular’s explanatory statement for the buy-back mandate is provided in Appendix I. Contingency arrangements are in place for severe weather; any postponement will be announced on the company’s and HKEX websites.

As at the notice date (20 April 2026), the board comprises two executive directors (Mr. Xu Jianchun and Mr. Liu Tien-Tsai), one non-executive director (Mr. Zhu Bing) and three independent non-executive directors (Mr. Chai Chung-Wai, Dr. Yang Jingjing and Ms. Hu Zhaohui).
