MIKO INTL Sets 26 June AGM; Seeks 10% Share Buy-back, 20% Fresh-Issue Mandates

MIKO International Holdings Ltd. (“MIKO INTL”) has issued its 2026 AGM circular outlining key resolutions to be put to shareholders on 26 June 2026 in Quanzhou, Fujian.

Key proposals • Share buy-back mandate: Directors request authority to repurchase up to 10% of issued shares (22.30 million shares based on 222.98 million outstanding as of 22 April 2026). Any repurchased shares will be held as treasury stock and/or cancelled. • Issue mandate: Board seeks approval to allot and issue, or resell/transfer treasury shares, up to 20% of current issued share capital—equivalent to 44.60 million shares. An additional resolution would extend this limit by the number of shares actually repurchased under the buy-back mandate. • Director re-elections: Executive Director Ms Liu Min and Independent Non-executive Director Mr Guo Zheng will stand for re-election. • Auditor re-appointment: HLB Hodgson Impey Cheng Ltd. proposed to continue as external auditor, with FY-2026 audit fees estimated at HK$0.90–0.99 million.

Capital structure snapshot • Issued shares: 222.98 million (par HK$0.10) with no treasury shares. • Outstanding share options: 3.17 million. • Chairman Ding Peiji controls 25.19 million shares (11.30%); full utilisation of the buy-back mandate would lift his stake to approximately 12.55%.

Regulatory considerations • The company confirms any repurchases will be funded from internal resources and executed within Cayman Islands and Hong Kong regulations. • Public float will be maintained above the 25% threshold required by the Hong Kong Stock Exchange.

Shareholders registered by 17 June 2026 may attend and vote; proxy submissions must reach Computershare Hong Kong Investor Services no later than 48 hours before the meeting.
