CIMC Enric trims outstanding share base by 0.59 million in May 2026 after HKD 8.29 million buy-backs

• Share capital structure As at 31 May 2026, CIMC Enric maintained its authorised ordinary share capital at 10.00 billion shares (par value HKD 0.01). Authorised non-redeemable convertible preference shares also remained unchanged at 2.00 billion. Total authorised share capital therefore stood at HKD 120.00 million.

• Issued and treasury shares The company’s issued ordinary shares (excluding treasury shares) declined by 0.59 million to 2,113.02 million during the month. Concurrently, treasury shares rose by 0.84 million to 1.53 million, taking total issued shares (including treasury) to 2,114.55 million. Public float comfortably satisfied the 25 % threshold required by the Hong Kong Stock Exchange.

• Share repurchases CIMC Enric executed two on-market buy-backs: 1) 15 May 2026 – 0.44 million shares at HKD 9.94 each 2) 18 May 2026 – 0.40 million shares at HKD 9.79 each

The 0.84 million shares repurchased, now held in treasury, involved a combined outlay of approximately HKD 8.29 million, at a weighted-average price of HKD 9.87 per share.

• Share option activity Exercise of employee share options led to the issue of 0.25 million new shares, generating HKD 1.78 million in proceeds. Outstanding options fell to 32.37 million, of which 18.60 million were vested but unexercised at month-end.

• Net impact Including option exercises and buy-backs, the company’s net issued share count fell by 0.59 million in May 2026, reflecting the continued execution of its capital management programme.
