Shanxi Installation sets 26 Jun 2026 AGM; proposes RMB0.2038/10-share dividend, RMB10.41 bn financing quota and HK$326.9 m proceeds reallocation

Shanxi Installation Group Co., Ltd. (Shanxi Installation, 02520) has issued a circular convening its 2025 Annual General Meeting for 3:00 p.m. on 26 June 2026 in Shanxi Province, PRC. Eight ordinary and one special resolution will be tabled. Key items are summarised below.

Dividend proposal • A final dividend of RMB0.2038 (tax-inclusive) per 10 shares is recommended for FY-2025. • Record date for H-shareholders: 13 July 2026; payment is expected on or around 20 August 2026 in Hong Kong dollars.

2026 financing plan and guarantees • Aggregate financing limit: up to RMB10.41 billion. • Aggregate guarantee limit: up to RMB2.50 billion.

Corporate credit bond mandate • Board seeks authorisation to issue corporate credit bonds of up to RMB3.35 billion. • Maturities capped at 10 years and may include corporate bonds, medium-term notes, perpetuals, short-term or ultra-short-term instruments. • Proceeds are earmarked for working capital, debt repayment and project funding; authorisation valid until the next AGM.

General share issuance mandate • Special resolution to authorise the Board to issue new shares not exceeding 20% of share capital outstanding as at the AGM date, equivalent to a maximum of 274.70 million shares.

Re-allocation of IPO proceeds • IPO net proceeds: HK$738.50 million; utilised to date: HK$411.60 million; unutilised balance: HK$326.90 million. • Main adjustments: – Photovoltaic projects: –HK$9.30 million (to HK$1.20 million) – Wind power projects: –HK$70.00 million (to HK$141.90 million) – Clean heating projects: –HK$51.40 million (to HK$1.50 million) – Other new-energy equity/construction: +HK$24.80 million (to HK$24.80 million) – Water treatment projects: +HK$50.90 million (to HK$51.50 million) – Solid waste disposal projects: +HK$64.20 million (to HK$83.50 million) – Upstream/downstream manufacturing: –HK$9.20 million (to HK$8.60 million) • Company expects full utilisation of proceeds by end-2027.

Auditor re-appointment • Grant Thornton (Special General Partnership) proposed for FY-2026 audit. • FY-2025 audit fee set at RMB2.55 million; FY-2026 fee estimated at RMB2.40–2.80 million.

Key timetable • H-share register closure for AGM: 23–26 June 2026 (both days inclusive). • Proxy submission deadline: 3:00 p.m., 25 June 2026. • Ex-dividend register closure: 6–13 July 2026 (both days inclusive).

The Board recommends shareholders vote in favour of all resolutions at the upcoming AGM.
