Man Wah reports stable share structure in July; 57,600 options lapse while public float remains compliant

Hong Kong, 3 August 2026 — Man Wah Holdings Limited ended July 2026 with an unchanged share capital structure, according to its latest monthly return filed with Hong Kong Exchanges and Clearing Limited.

At month-end, authorised capital stood at HKD 2.00 billion, representing 5.00 billion ordinary shares with a par value of HKD 0.40 each—identical to the preceding month’s level. Issued share capital also remained steady at 3,843,951,200 ordinary shares, and the company held no treasury shares.

Public-float requirements were satisfied, with at least 25% of issued shares held by the public, as confirmed under Main Board Rule 13.32D(1).

The only movement during the period came from the 2020 Share Option Scheme: 57,600 options lapsed, reducing outstanding options to 8.38 million. No new shares were issued and no treasury shares were transferred or cancelled, resulting in zero change to the total number of shares in issue. No warrants, convertibles or other share-linked instruments were outstanding or exercised.

The filing affirms compliance with all relevant listing rules and regulatory obligations, and confirms that no additional securities were issued nor repurchased during July 2026.
