ORBUSNEICH Maintains Share Capital Stability in March 2026; 0.20 Million Pre-IPO Options Lapse

OrbusNeich Medical Group Holdings Limited filed its Monthly Return to the Hong Kong Stock Exchange for the period ended 31 March 2026, confirming unchanged share capital and continued compliance with public‐float requirements.

Total authorised share capital remained at 1.20 billion ordinary shares with a par value of USD 0.0005, representing authorised capital of USD 0.60 million.

The issued share base stayed flat at 827.97 million ordinary shares, and the company reported no treasury shares on hand. Consequently, no funds were raised through share issuance during the month.

Public float met the Main Board’s 25% minimum threshold, ensuring sufficient market liquidity.

Option movements were limited to the lapse of 0.20 million options under the Pre-IPO Share Option Scheme adopted on 18 December 2020, reducing outstanding options under this plan to 7.43 million. The Post-IPO Share Option Scheme, approved on 5 December 2022, showed no activity and closed the month with 4.35 million outstanding options. The aggregate pool of shares still available for future grants under this scheme stands at 76.60 million.

No warrants, convertible securities, HDRs, or other equity instruments were issued, repurchased, or cancelled during the reporting period.

The return was signed by Director Chen Wing Shing on 1 April 2026, underscoring that OrbusNeich’s capital structure remained stable with minimal equity dilution events in March.
